1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the website located at itgovernance.com ("Site"), as well as all services, training programmes, digital products, downloadable resources, certification processes, and related offerings provided by IT Governance ("we", "us", "our").
By accessing the Site, registering for any service or programme, downloading materials, purchasing products, or otherwise engaging with our offerings, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Scope of Services and Products
Our offerings include, without limitation:
- Consulting and advisory services related to AI governance, EU AI Act compliance, ISO/IEC 42001 implementation, and enterprise IT governance;
- Training programmes (in-person, virtual, and e-learning);
- Certification programmes (e.g., Certified in the Governance of AI Systems);
- Digital products, software tools, templates, and compliance kits;
- Downloadable resources, white papers, guides, and on-demand content.
Descriptions and specifications appear on the Site or in separate quotations / order confirmations. We reserve the right to modify, suspend or discontinue any offering at any time.
3. Intellectual Property Rights
All content on the Site and in our services/products�including text, graphics, logos, training materials, templates, software interfaces, documentation and recordings�is owned by IT Governance or licensed to us and protected by copyright, trademark, design, database and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the content solely for your internal business purposes or personal professional development, subject to these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.
4. Orders, Payment and Fees
Fees for services, training, certification, and products are stated on the Site, in quotations, or in order confirmations. Unless otherwise agreed in writing:
- Payment is due in full in advance of service delivery or access being granted;
- All prices are exclusive of VAT and any other applicable taxes or duties, which you are responsible for paying;
- Invoices are payable within the period stated thereon (or 14 days if no period is stated).
Late payments accrue interest at the rate permitted under applicable law.
5. Limitation of Liability
To the maximum extent permitted by law:
- The Site and all services/products are provided "as is" and "as available" without warranties of any kind, express or implied;
- We exclude all implied warranties including merchantability, fitness for a particular purpose, and non-infringement;
- Our total aggregate liability arising out of or in connection with these Terms (whether in contract, tort, negligence, breach of statutory duty or otherwise) shall in no event exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim;
- We shall not be liable for any indirect, special, incidental, consequential or punitive damages, including loss of profits, revenue, data, business opportunities, goodwill or anticipated savings, even if we have been advised of the possibility of such damages.
6. Indemnification
You agree to indemnify, defend and hold harmless IT Governance, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms;
- Your misuse of the Site, services or products;
- Any content or data you submit or transmit through the Site.
7. Termination
We may suspend or terminate your access to the Site or any service/product immediately, without prior notice, if you breach any provision of these Terms. Upon termination, your right to use the Site/services/products ceases immediately and any licences granted terminate.
8. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
9. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Site and Services and supersede all prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach.
10. Amendments
We may revise these Terms at any time by posting the revised version on the Site. The revised Terms take effect from the date of posting. Your continued use of the Site or Services after such changes constitutes acceptance of the revised Terms.
